“Cancellation Policy” means PR Global Solutions LLC discretionary cancellation policy, which can be viewed on our website.

"Dispute" means any controversy related to this agreement, including without limitation claims arising out of or relating to any aspect of the relationship between you and GS, claims that arose before this agreement, and claims that may arise after the termination of this agreement; however, this does not include claims related to or arising from the enforcement or protection of Intellectual Property Rights, and is subject to any applicable statutory consumer rights laws in your local jurisdiction.

"Intellectual Property Rights" means, any and all right, title, and interest of every kind whatsoever, whether now known or unknown, in and to patents, trade secret rights, copyrights, trademarks, service marks, trade dress and similar rights of any type under the laws of any governmental authority, including, without limitation, all applications and registrations relating to the foregoing.

"Notice" means a delivered writing by e-mail, courier, or by Express delivery to the other party at their respective address and will be effective upon receipt.

"Prohibited Advertisers" means any company that may be reasonably classified as a "multi-level marketing company" or any company that creates, produces, or distributes adware, malware, spyware, or any other software that may reasonably be classified as a "potentially unwanted program" or "PUA."

"Privacy Policy" means “PR Global Solutions LLC” policy regarding privacy, which also governs your use of the Services and is incorporated herein by reference. The current version is available on our website.

"Protected Content" means all non-User Generated Content included as part of the Services, including, but not limited to, text, graphics, logos, images, as well as the compilation thereof, the look and feel of the Services, including, without limitation, the text, graphics, code, and other materials contained therein.

"Third Party Payment Processor" means any third-party payments application, including but not limited to Zelle, Venmo, CashApp, Apple Pay, Discover, America Express, Mastercard Visa Google Pay and PayPal that PR Global Solutions LLC uses to process and distribute User payments in connection with the Services.

"Terms of Service" or ("Terms") means any and all terms, conditions, obligations, covenants, representations, and warranties contained herein.

PR Global Solutions LLC and Accounts Registration

In order to access our Services, you may need to open an account. Do not use an account that does not belong to you or is not registered in your name. As a condition of using our Services, you agree to provide accurate and complete information. You are responsible for activity that occurs under your account. PAID SERVICES

Paid Services. You may enter into an Order Form or Platform Purchase Agreement (herein referred to as “Order Form”) for paid services as part of your use of the Services. Subject to these Terms, an applicable Order Form, and payment of applicable fees stated therein, we hereby grant to you, during the period designated in an applicable Order Form, a non-exclusive, non-transferable, non-sublicensable right to use the Services, for your internal business purposes. We reserve all rights not expressly granted herein in the Services or in an Order Form.

Refund Policy

No Refunds. Notwithstanding any contrary terms herein or in an applicable Order Form, the subscription fees paid for the Paid Services are non-cancelable and non-refundable. The number of subscriptions specified in an accepted Order Form(s) cannot be decreased prior to the end of the then-current term, regardless of any termination, non-payment, non-use, or other conduct or inaction.

CONTENT ON THE SERVICES

All Content, whether publicly posted or privately transmitted, is the sole responsibility of the person who originated such Content. We do not monitor or control the Content posted via the Services and we cannot take responsibility for such Content. Any use or reliance on any Content or materials posted via the Services or obtained by you through the Services is at your own risk.

iv. Forge any TCP/IP packet header or any part of the header information in any email or posting, or in any way use the Services to send altered, deceptive, or false source-identifying information;

v. Interfere with, or disrupt, (or attempt to do so), the access of any user, host, or network, including, without limitation, sending a virus, overloading, flooding, spamming, or mail-bombing the Services;

vii. Use our service for any unlawful purposes or in furtherance of illegal activities (International users agree to comply with all local laws regarding online conduct and acceptable content);

viii. Use badges, such as, but not limited to, PR Global Solutions LLC collective membership badge, unless provided by PR Global Solutions LLC;

ix. Publish or link to malicious content intended to damage or disrupt another user’s browser or computer or to compromise a user’s privacy;

x. Use obscene or pornographic images in either your profile photo, header photo, or user background;

xi. Provide any false information on or via the Service;

xii. Stalk or otherwise harass any user;

xiii. Create a false identity or otherwise attempt to mislead any user or other person;

xiv. Resell the Services without our prior written permission; or

xv. Circumvent the Services in order to avoid any requirements under any laws, agreements, or binding contracts.

COPYRIGHT POLICY

PR Global Solutions LLC respects the intellectual property rights of others and expects users of the Services to do the same. We will respond to notices of alleged copyright infringement that comply with applicable law and are properly provided to us. If you believe that your Content has been copied in a way that constitutes copyright infringement, please provide us with the following information: (i) a physical or electronic signature of the copyright owner or a person authorized to act on their behalf; (ii) identification of the copyrighted work claimed to have been infringed; (iii) identification of the material that is claimed to be infringing or to be the subject of infringing activity and that is to be removed, or access to which is to be disabled, and information reasonably sufficient to permit us to locate the material; (iv) your contact information, including your address, telephone number, and an email address; (v) a statement by you that you have a good faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law; and (vi) a statement that the information in the notification is accurate, and, under penalty of perjury, that you are authorized to act on behalf of the copyright owner.

FEES AND PAYMENTS

Subscription Fees. In consideration for the access rights granted to you and the Services performed by us under these Terms, you may pay to us the fees as set forth in an applicable Order Form(s). “Authorized Users” means any individual who is your employee or such other person or entity as may be authorized by these Terms or an Order Form, to access the Services pursuant to your rights under these Terms. If you provide us with valid credit card information, you authorize us to charge such credit card for the initial term and any renewal term(s). Such charges shall be made in advance, either annually or in accordance with any different billing frequency stated in the applicable Order Form. If the Order Form specifies that payment will be by a method other than a credit card, we will invoice you in advance and otherwise in accordance with the relevant Order Form.

We shall be entitled to (in addition to any other rights or remedies we may have) discontinue the Services and suspend those Authorized Users and your access to the Services whose corresponding fees are overdue until such amounts are paid in full.

SUBSCRIPTION TERM AND RENEWAL

Term. This Agreement commences upon the acceptance of an applicable Order Form and remains in effect for the period set forth therein, unless earlier terminated as set forth below (the “Initial Term”). This Agreement shall be automatically renewed for consecutive periods equal in length to the Initial Term (each a “Renewal Term”) unless either party provides written notice to the other of its intention not to renew at least thirty (30) days prior to the expiration of the then-current Term. Should you decide not to renew, you may send the notice of non-renewal by email to support@prentissrhodes.com.

Expiration. YOU UNDERSTAND AND AGREE THAT ONCE YOUR SUBSCRIPTION TO THE SERVICE EXPIRES OR IS OTHERWISE TERMINATED, ALL DATA ASSOCIATED WITH YOUR ACCOUNT MAY BE DELETED FROM THE SERVICES. SINCE DELETION OF ALL DATA IS FINAL, PLEASE BE SURE THAT YOU DO IN FACT WANT TO CANCEL YOUR ACCOUNT BEFORE DOING SO. IF YOU HAVE ANY QUESTIONS ABOUT CANCELLING YOUR ACCOUNT, PLEASE CONTACT US.

We may suspend or terminate your accounts or cease providing you with all or part of the Services at any time for any reason, including, but not limited to, if we reasonably believe: (i) you have violated these Terms, (ii) you create risk or possible legal exposure for us; or (iii) our provision of the Services to you is no longer commercially viable. We will make reasonable efforts to notify you by the email address associated with your account or the next time you attempt to access your account.

In all such cases, the Terms and any applicable Order Form shall terminate, including, without limitation, your license to use the Services, except that the following Sections shall continue to apply: Free Services, Content on the Services, Your Rights, Non-Disclosure Agreement, PR Global Solutions LLC Rights, Copyright Policy, Fees and Payments (to the extent that any fees you owe us remain outstanding at the time of termination), User Disputes, Disclaimers and Limitations on Liability, General Terms, and any terms in the Order Form that survive termination.

Nothing in this Section shall affect PR Global Solutions LLC’s rights to change, limit, or stop the provision of the Services without prior notice, as provided above in the Section titled Basic Terms.

DISCLAIMERS OF WARRANTY

Please read this Section carefully since it limits the liability of PR Global Solutions LLC and its parents, subsidiaries, affiliates, related companies, officers, directors, employees, agents, representatives, partners, and licensors (collectively, the “PR Global Solutions LLC”). This section only applies up to the maximum extent permitted under applicable law. Some jurisdictions do not allow the disclaimer of implied warranties or the limitation of liability in contracts, and as a result the contents of this Section may not apply to you. Nothing in this Section is intended to limit any rights you may have which may not be lawfully limited.

You understand and agree that the Services are provided to you on an “AS IS” and “AS AVAILABLE” basis. PR Global Solutions LLC Entities make no warranty and disclaim all responsibility and liability for: (i) the completeness, accuracy, availability, timeliness, security, or reliability of the Services or any Content; (ii) any harm to your computer system, loss of data, or other harm that results from your access to, or use of, the Services or any Content; (iii) the deletion of, or the failure to store or to transmit, any Content and other communications maintained by the Services; and (iv) whether the Services will meet your requirements or be available on an uninterrupted, secure, or error-free basis. No advice or information, whether oral or written, obtained from the PR Global Solutions LLC Entities, or through the Services, will create any warranty not expressly made herein.

You acknowledge sole responsibility for and assume all risk arising from your use of any such websites or resources.

Limitation of Liability.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PR GLOBALSOLUTION LLC ENTITIES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOOD-WILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (i) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES; (ii) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICES, INCLUDING WITHOUT LIMITATION, ANY DEFAMATORY, OFFENSIVE, OR ILLEGAL CONDUCT OF OTHER USERS OR THIRD PARTIES; (iii) ANY CONTENT OBTAINED FROM THE SERVICES; OR (iv) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT.

IN NO EVENT SHALL THE AGGREGATE LIABILITY OF PR GLOBALSOLUTION LLC ENTITIES EXCEED THE LESSER OF ONE HUNDRED U.S. DOLLARS (U.S. $100.00) OR THE AMOUNT YOU PAID PR GLOBALSOLUTION LLC, IF ANY, IN THE PAST SIX MONTHS FOR THE SERVICES GIVING RISE TO THE CLAIM.

THE LIMITATIONS OF THIS SUBSECTION SHALL APPLY TO ANY THEORY OF LIABILITY, WHETHER BASED ON WARRANTY, CONTRACT, STATUTE, TORT (INCLUDING NEGLIGENCE), OR OTHERWISE, AND WHETHER OR NOT THE PR GLOBALSOLUTION LLC ENTITIES HAVE BEEN INFORMED OF THE POSSIBILITY OF ANY SUCH DAMAGE, AND EVEN IF A REMEDY SET FORTH HEREIN IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE.

INDEMNIFICATION

You agree to defend, indemnify, and hold harmless PR Global Solutions LLC, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, and successors and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorney’s fees) arising out of, or relating to, your violation of these Terms or your use of the Services, including but not limited to your Content, and any negligence, misconduct, or criminal activity by you.

Waiver and Severability.

The failure of PR GLOBALSOLUTION LLC to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision. In the event that any provision of these Terms is held to be invalid or unenforceable, then that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions of these Terms will remain in full force and effect.

Controlling Law and Jurisdiction.

These Terms and any action related thereto will be governed by the laws of the United State without regard to or application of its conflict of law provisions or your state or country of residence. All claims, legal proceedings or litigation arising in connection with the Services will be brought solely in the federal or state courts located in United State, and you consent to the jurisdiction of, and venue in, such courts, and waive any objection as to inconvenient forum.

LIMITATION ON TIME TO FILE CLAIMS.

ANY CAUSE OF ACTION OR CLAIM YOU MAY HAVE ARISING OUT OF OR RELATING TO THESE TERMS, AN ORDER FORM, OUR PRIVACY POLICY, OR THE SERVICES MUST BE COMMENCED WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES, OTHERWISE, SUCH CAUSE OF ACTION OR CLAIM IS PERMANENTLY BARRED.

Entire Agreement.
